Welcome to NRV Lab Informatics. By accessing our website and utilizing our services, you agree to comply with and be bound by the following Terms and Conditions. Please read them carefully.

1. Definitions

  • “Company”, “We”, “Us”, or “Our” refers to NRV Lab Informatics.
  • “Client”, “You”, or “Your” refers to the entity or individual engaging our services.
  • “Services” refers to Lab Informatics software provision, LIMS (Laboratory Information Management System) application consultation, implementation, training, and support provided by NRV Lab Informatics.

2. Scope of Services

NRV Lab Informatics provides professional consultation and software solutions specifically for the laboratory informatics sector. Our services include, but are not limited to:

  • Assessment and selection of LIMS platforms.
  • Implementation, configuration, and customization of Lab Informatics software.
  • Workflow analysis and optimization.
  • User training and post-implementation support.

We do not sell physical laboratory hardware or equipment. All deliverables are intangible services, software code, configurations, or consultation reports.

3. Acceptance of Terms

By engaging NRV Lab Informatics for any Service, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. These terms apply to all visitors, users, and others who access or use the Service.

4. Client Obligations

To ensure the successful delivery of Services, the Client agrees to:

  • Provide timely access to necessary personnel, systems, and data required for the project.
  • Ensure that all information provided to NRV Lab Informatics is accurate, complete, and up-to-date.
  • Obtain necessary licenses or permissions for any third-party software or hardware systems we are asked to integrate with.

5. Intellectual Property Rights

  • Pre-Existing IP: All intellectual property owned by NRV Lab Informatics prior to the engagement (including proprietary methodologies, code libraries, and tools) remains the exclusive property of NRV Lab Informatics.
  • Deliverables: Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the custom configurations and reports delivered during the project for their internal business purposes.
  • Third-Party Software: Any LIMS software or third-party applications recommended or implemented are subject to their own separate license agreements. NRV Lab Informatics does not claim ownership of third-party software.

6. Confidentiality & Data Protection

We understand the sensitivity of laboratory data.

  • Confidential Information: Both parties agree to keep all proprietary information, client lists, trade secrets, and technical data strictly confidential.
  • Data Usage: NRV Lab Informatics will access Client data solely for the purpose of providing the agreed Services. We will not share, sell, or disclose Client data to third parties unless required by law.
  • Data Integrity: While we implement industry-standard best practices, the Client is responsible for maintaining their own data backups. NRV Lab Informatics is not liable for data loss caused by Client actions or system failures outside our direct control.

7. Payment Terms

  • Invoicing: Services will be invoiced according to the schedule agreed upon in the specific Service Agreement or Statement of Work (SOW).
  • Payment Due Date: Invoices are due within 30 days of the invoice date unless otherwise specified.
  • Late Payments: We reserve the right to suspend Services if payments are not received by the due date.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

  • NRV Lab Informatics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill.
  • Our total liability for any claim arising out of these Terms or the Services shall not exceed the amount paid by the Client to NRV Lab Informatics for the specific Service giving rise to the claim during the 6 months preceding the incident.
  • NRV Lab Informatics provides consultation based on current industry standards but does not guarantee specific business outcomes or regulatory approvals unless explicitly stated in the SOW.

9. Warranty Disclaimer

Our Services are provided “as is” and “as available.” NRV Lab Informatics makes no warranties, whether express or implied, regarding the performance or suitability of third-party LIMS software for your specific needs, except as outlined in our consultation reports.

10. Termination

  • Either party may terminate the agreement with written notice if the other party breaches a material term and fails to cure such breach within 30 days.
  • Upon termination, the Client shall pay NRV Lab Informatics for all Services rendered and expenses incurred up to the effective date of termination.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of United Arab Emirates, without regard to its conflict of law provisions.
